1. This agreement
These Terms of Service, which also serve as our End-User License Agreement (the "Terms"), are a contract between you and Anvil Score, operated by Tessio Labs LLC ("Anvil," "we," "us"). They cover your use of the Anvil Score web application at https://app.anvilscore.com, our APIs, reports, and any related services (together, the "Service").
By creating an account, connecting a data source, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a business or on behalf of a client, you confirm you have the authority to accept these Terms for that business, and "you" includes that business.
You must be at least 18 years old to use the Service. The Service is built for business use, not for personal, family, or household purposes.
2. What the Service does
Anvil estimates what a trades business might be worth to a buyer and shows the factors that move that estimate. It works from numbers you enter, files you upload, and data you choose to connect from business software such as QuickBooks Online or Simpro.
Anvil scores, value ranges, and recommendations are estimates for planning and discussion. They are not an appraisal, a fairness opinion, an offer to buy, or financial, investment, tax, accounting, or legal advice. They depend on the completeness and accuracy of the data we can see, and a real sale price depends on buyers, terms, and market conditions we cannot predict. Talk to qualified advisors before making decisions based on the Service.
3. Your license to use Anvil
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes while your account is in good standing. We and our licensors keep all rights, title, and interest in the Service, including its software, scoring models, benchmarks, design, and content. No rights are granted except those stated here.
What you may not do
- Copy, modify, or create derivative works of the Service, or reverse engineer, decompile, or try to extract its source code or scoring models, except where the law expressly allows it.
- Resell, rent, sublicense, or provide the Service to third parties as a service bureau, except that accounting firms may use it for their own clients as described in section 6.
- Access data or accounts you are not authorized to access, probe or bypass our security controls, or interfere with the Service.
- Use bots, scrapers, or automated means to access the Service beyond the features and APIs we provide.
- Upload anything unlawful, infringing, or malicious, or data you do not have the right to share with us.
- Use the Service to build a competing product or to benchmark it for publication without our written consent.
4. Accounts and security
You sign in with a link sent to your email address. Keep control of that inbox, give us accurate account information, and tell us right away at support@anvilscore.com if you think someone has accessed your account without permission. You are responsible for activity in your account and for the people you invite to it.
5. Connected software (QuickBooks, Simpro, and others)
You can choose to connect third-party software to Anvil. When you connect QuickBooks Online, you authorize Anvil, through Intuit's sign-in and consent screen, to read your company's accounting data (such as company information, chart of accounts, profit and loss, and balance sheet reports). Anvil requests QuickBooks' accounting permission only, and only reads with it: it never creates, changes, or deletes records in your QuickBooks company. It does not request access to QuickBooks Payments or payroll.
You confirm that you have the right to connect each account you connect and to let us use its data as these Terms and our Privacy Policy describe. Your use of third-party software stays governed by your agreement with its provider. We are not responsible for the availability, accuracy, or changes of third-party software, and a connection may stop working if the provider changes or revokes access.
You can revoke Anvil's access to QuickBooks at any time from your Intuit account (in QuickBooks, the list of connected apps), or by asking us to disconnect it. When a connection is revoked, Anvil stops pulling new data from it.
QuickBooks and Intuit are trademarks of Intuit Inc. Simpro and ServiceTitan are trademarks of their respective owners. Anvil is an independent product and is not affiliated with, sponsored by, or endorsed by these companies unless we say so expressly.
6. Accounting firms and advisors
An accounting firm or other advisor can manage client businesses from a firm workspace. If you add a client business, you confirm the client has authorized you to enter or connect its data and to share its Anvil results with the people in your firm who can see it. The firm is responsible for its members' use of client data and for removing access when a client relationship ends.
7. Your data
You keep all rights to the data you enter, upload, or connect ("Your Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, and display Your Data only as needed to provide, secure, and support the Service for you, and as described in our Privacy Policy.
We may create de-identified and aggregated data from Your Data (for example, industry benchmarks, or measuring how well our estimates matched real outcomes) to improve our scoring models and the Service. De-identified data does not identify you, your business, or any person, and we will not try to re-identify it.
We do not sell Your Data. We do not share it with buyers, brokers, lenders, or other third parties for their own use unless you direct us to.
8. Plans, fees, and billing
Some features require a paid plan. Prices, billing period, and any refund terms are shown before you buy. Paid plans renew automatically for the same period until you cancel, and you can cancel any time by emailing us, or from your billing settings where available; cancellation takes effect at the end of the current period unless the purchase terms say otherwise. Payments are processed by our payment provider, Stripe, and fees exclude taxes unless stated. We may change prices with at least 30 days' notice before the change applies to your next renewal.
9. Feedback
If you send us ideas or suggestions, we may use them without any obligation to you.
10. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted or error-free, or that any estimate will match the price a buyer actually pays.
11. Limitation of liability
To the fullest extent permitted by law, Anvil will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, or for any decision you make based on the Service, even if we were told such damages were possible.
Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim arose, or one hundred US dollars ($100).
Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you.
12. Indemnity
You will defend and indemnify Anvil against third-party claims arising from Your Data, your connection of accounts you were not authorized to connect, or your breach of these Terms, and pay the resulting costs and reasonable attorneys' fees.
13. Ending this agreement
You can stop using the Service and ask us to delete your account at any time. We may suspend or end your access if you breach these Terms, if required by law, or if continuing would create a security or legal risk for us or other users. Where reasonable, we will give notice first.
When this agreement ends, your license ends and we will delete or de-identify Your Data as described in our Privacy Policy. Sections that by their nature should survive (including Your Data, fees owed, disclaimers, limitation of liability, indemnity, and governing law) will survive.
14. Changes to the Service or these Terms
We may update the Service and these Terms. If a change to these Terms is material, we will tell you by email or in the app before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Florida, and both parties consent to their jurisdiction. If any part of these Terms is unenforceable, the rest stays in effect. These Terms, with our Privacy Policy and any order terms you accept, are the entire agreement between us about the Service. You may not assign these Terms without our consent; we may assign them in a merger, acquisition, or sale of assets.
